Terms of Service

1. Introduction

We wrote this to keep campaigns smooth, compliant, and fair to both of us. It's here to protect your brand and ours.

These Terms of Service ("Terms") govern the relationship between you ("Client") and Modern Inbound, providing global outbound cold email lead generation services. By engaging our services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

2. Services

Modern Inbound provides the following services under a retainer + pay-per-lead model:

  • Cold email copywriting and optimization
  • B2B prospect list building and research
  • Email campaign management and execution
  • Performance reporting and analytics

Services are provided on a best-efforts basis. We reserve the right to modify service offerings with reasonable notice.

3. Client Responsibilities

Client agrees to:

  • Provide accurate business information and campaign requirements
  • Respond to communications within reasonable timeframes
  • Comply with all applicable laws and regulations
  • Not engage in any activities that could harm Modern Inbound's reputation
  • Follow up on leads generated as per their own sales processes

What you can expect from us:

  • Quality campaigns
  • Compliance handled
  • Regular reporting

What we need from you:

  • Timely content/approvals
  • Right to use data
  • Prompt payments

4. Payment Terms

Payment structure consists of monthly retainer fees plus pay-per-lead charges as specified in the service agreement. Retainer fees are billed monthly in advance.

Because outbound campaigns require significant upfront work, completed work isn't refundable. But we'll keep making adjustments during the engagement to get the best results.

If payments fall behind by 14 days, campaigns pause until resolved. At 30 days overdue, we may end the service.

5. Infrastructure Ownership

All sending domains, email mailboxes, and related technical infrastructure remain the exclusive property of Modern Inbound unless explicitly agreed in writing for a paid transfer upon service termination. Client acknowledges no ownership rights to campaign infrastructure.

6. Data Handling & Privacy

Leads are sourced from legitimate B2B data providers. All campaign data, including but not limited to email sequences, prospect lists, and performance metrics, may be retained indefinitely by Modern Inbound as proof of work performed and for service improvement purposes.

7. Service Limitations & Exclusions

Modern Inbound explicitly provides NO GUARANTEE of:

  • Lead-to-conversion rates
  • Meeting bookings or appointments
  • Revenue generation or sales outcomes
  • Client follow-up effectiveness

Our responsibility ends with lead delivery. All subsequent sales activities and outcomes are solely the Client's responsibility.

8. Termination & Suspension of Service

Either party may terminate this agreement with one (1) week written notice. We may pause or end campaigns if laws are breached, payments aren't made, or compliance issues aren't fixed.

9. Liability & Indemnification

Modern Inbound's total liability is strictly limited to fees paid in the last month of service. We accept NO LIABILITY for consequential damages including but not limited to lost profits, reputational harm, opportunity loss, or any indirect damages. Client agrees to indemnify Modern Inbound against all claims arising from their use of our services.

10. Force Majeure

Modern Inbound shall not be liable for delays or failures due to circumstances beyond our reasonable control, including but not limited to platform bans, changes in spam regulations, technical failures of third-party services, or other unforeseeable events.

11. Non-Solicitation

Client agrees not to contact, solicit, or engage with other Modern Inbound clients for any business purpose during the engagement period and for twelve (12) months thereafter. Violation of this clause may result in immediate termination and legal action.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of India (Pune jurisdiction) and Delaware, USA. Any disputes shall be resolved through binding arbitration in the jurisdiction most convenient to Modern Inbound.

13. Amendments

Modern Inbound reserves the right to modify these Terms at any time with reasonable notice. Continued use of services after amendments constitutes acceptance of revised Terms.
